• In October 2012 new legislation has been enacted which now allows a private limited company (BV) to be registered with a minimum share capital of just one euro.

There are four major kinds of business entity, and they are as follows:

 Basic Characteristics

The main features of an NV company are listed below:

  • the minimum share capital for an NV company is €45,000
    at least 20% of the authorized share capital must be issued
  • no nationality requirement for shareholders
  • audited accounts must be filed with Chamber of Commerce
  • suitable for companies wishing to raise capital publicly

The main features of a BV company are as follows:

  • the minimum share capital for a BV company is €1 (reduced from €18,000 in 2012) however a minimum of €5000 paid up capital is recommended
  • shareholders’ liability is restricted to capital contribution
  • no nationality requirement for shareholders
  • audited accounts must be filed with Chamber of Commerce
  • the most common form of business enterprise in The Netherlands

The main features of a Dutch partnership are as follows:

  • available as a general, professional or limited partnership
  • general partnerships have unlimited liability
  • limited partnerships have limited liability
  • in professional partnership, each partner is liable for own debts

The main features of a branch are as follows:

  • popular format for foreign companies opening up in The Netherlands
  • foreign parent responsible for all liabilities of Dutch branch
  • minimum of one director; no formal accounting requirements
  • branch required to register with Chamber of Commerce
